Clients agree to pay UXShore the agreed-upon fees for services rendered. Payment terms, including deposit requirements and milestones, will be outlined in the project proposal or contract.

UXShore agrees to keep confidential all information provided by the client, including business strategies, proprietary information, and project details. Similarly, clients agree to keep confidential any proprietary information shared by UXShore.


7. Limitation of Liability

UXShore shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of the use or inability to use our services.


8. Domain and Website Ownership

Upon creation and publishing, UXShore will own the domain and website. Clients agree to go through UXShore for any changes or modifications to the website. Any changes or modifications will require payment unless there is a written agreement between both parties stipulating otherwise.


9. Project Procedure

To maintain project timelines, clients must follow the standard project procedure outlined in the "HOW IT WORKS" page on our website. Failure to do so may result in additional fees or charges.


10. Indemnification

Clients agree to indemnify and hold UXShore harmless from any claims, damages, or losses arising out of or related to the client's use of our services or any breach of these terms and conditions.


11. Termination

Either party may terminate the agreement for any reason by providing written notice to the other party. Upon termination, the client shall pay any outstanding fees owed to UXShore for services rendered up to the termination date.


12. Governing Law

These terms and conditions shall be governed by and construed in accordance with the Federal laws of the United States of America and State laws in the State of Utah, without regard to its conflict of law principles.


13. Continuity of Business

If our client needs updates or additions to their website, UXShore and the client will need to reach an agreement of payment amount. The client will be responsible for giving any needed information that UXShore requests to complete the build process of the updates or additions.


14. Changes to Terms

UXShore reserves the right to update or modify these terms and conditions at any time without prior notice. Continued use of our website or services after any such changes shall constitute your consent to such changes.
